7. Indemnification for Non-Compliance: In the event that your use of Ulysses results in a violation of any law or regulation, or results in litigation or investigation by any governmental body, you agree to indemnify and hold Ulysses harmless from any liability, fines, or penalties.

2. Services and Permissions

1. Email Access and Management: Ulysses offers tools to access and manage your email account. By accepting these ToS, you grant Ulysses permission to access your email account(s) as necessary to provide these services.
2. Sending Emails: Ulysses may send emails on your behalf. You authorize Ulysses to compose, send, and manage emails as directed by your use of our services.
3. Reading Emails: Ulysses will have the capability to read emails from any of the contacts which Ulysses has introduced to you. 
4. Data Processing and Privacy: All data processing through Ulysses will be done in accordance with our Privacy Policy. We commit to maintaining the confidentiality and integrity of your email data.
5. User Consent and Revocation: Your permissions are essential for the operation of Ulysses. You can revoke these permissions at any time by modifying your account settings or contacting us directly. However, this may affect the functionality of our services.

3. User Responsibilities

1. Lawful Use: You agree to use Ulysses’ services for lawful purposes only. This includes adhering to all applicable laws and regulations related to email communications and data privacy.
2. Prohibited Activities: You must not use Ulysses to send spam, conduct fraudulent activities, spread malware, or engage in behavior that infringes on the rights of others. Any illegal use of the service will result in immediate termination of your account.
3. No Harmful Use: You agree not to use Ulysses in a manner that could damage, disable, overburden, or impair the service or interfere with any other party’s use of the service.
4. Reporting Misuse: If you become aware of any unauthorized or improper use of Ulysses or any security breach in the service, you agree to immediately report this to us.
5. Authorization of Email Content: While Ulysses will be sending emails on your behalf, you are responsible for the content of these emails. You must ensure that the instructions you provide to Ulysses for email content are lawful, respectful, and do not infringe upon the rights or privacy of others.
6. Compliance with Communication Laws: You are responsible for ensuring that your use of Ulysses complies with all applicable laws and regulations related to electronic communications, including anti-spam laws.
7. Review and Approval of Emails: Prior to sending, you should review and approve all emails composed by Ulysses on your behalf to ensure they meet your standards and intentions.

4. Privacy and Data Use

1. Data Collection: Ulysses collects and processes data necessary for providing its email management services. This includes accessing your email account and analyzing email content for sending and managing emails.
2. Use of Data: The data collected will be used solely for the purpose of providing and improving the services offered by Ulysses. This includes optimizing email management functionalities and ensuring a user-friendly experience.
3. Data Security: We implement various security measures to ensure the protection of your data against unauthorized access, alteration, disclosure, or destruction.
4. User Rights: You have the right to access, amend, or delete your data held by Ulysses by emailing accounts@ulyssesleads.com requesting the same. 
5. Policy Changes: Any changes to the privacy policy will be communicated to you through your provided contact information or through notices on the Ulysses website.

5. Intellectual Property

1. Ownership of Services: All services provided by Ulysses, including any software, technology, and content related to the services, are the exclusive property of Ulysses or its licensors. This includes all intellectual property rights therein.
2. User License: Ulysses grants you a non-exclusive, non-transferable, revocable license to use the services for your personal or business email management. This license does not convey any ownership rights in the Ulysses services.
3. Restrictions: You may not modify, reverse engineer, or create derivative works based on the Ulysses services. Copying, distributing, or disclosing any part of the services in any medium, including without limitation by any automated or non-automated “scraping,” is prohibited.
4. User Content: Any content you create, upload, or share using Ulysses remains your intellectual property. However, by using Ulysses, you grant us a license to use this content as necessary to provide our services.
5. Infringement Claims: If you believe that your intellectual property rights have been infringed by another user or by Ulysses, you should notify us so that we can take appropriate action.

6. Limitation of Liability

1. Service “As Is”: Ulysses provides its services on an “as is” and “as available” basis. While we strive for excellence, we do not guarantee that the services will be uninterrupted, timely, secure, or error-free.
2. No Warranty: Ulysses disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
3. Limitation of Liability: Ulysses, its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services. In addition, Ulysses is not liable for any unauthorized access to, alteration of, or the deletion, destruction, damage, loss, or failure to store any of your emails, data, or other communications involving your email account, except to the extent such liability arises from Ulysses’ gross negligence or willful misconduct. This limitation applies regardless of whether the damages arise from breach of contract, tort, or any other legal theory or form of action.
4. Damage Cap: In no event will Ulysses’ total liability for all damages, losses, and causes of action exceed the amount paid by you for accessing the services within the last three months.
5. User Responsibility: You acknowledge that you use Ulysses at your own risk and that you will be solely responsible for any damage or loss to you or any other party resulting from your use of the services.

7. Termination and Cancellation Policy

1. Termination by Ulysses: Ulysses reserves the right to terminate or suspend your account and access to the services at any time, including in the case of your actual or suspected unauthorized use of the services or non-compliance with the ToS.
2. Termination by User: You have the right to terminate your agreement with Ulysses at any time. Upon your request for termination, Ulysses will cease all access to your email account, and your authorization for Ulysses to manage your emails will be revoked. To initiate this process, contact Ulysses support (accounts@ulyssesleads.com) and follow the specified steps for account closure and revocation of email access.
3. Effect of Termination: Upon termination, your right to use the services will immediately cease. If your account is terminated, Ulysses may permanently delete your account and all the data associated with it.
4. Survival of Terms: Sections of the ToS that, by their nature, should survive termination will remain in effect after termination. This includes, but is not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
5. Termination by User with Revocation of Access: You have the right to terminate your agreement with Ulysses at any time. Upon your request for termination, Ulysses will cease all access to your email account, and your authorization for Ulysses to manage your emails will be revoked. To initiate this process, contact Ulysses support and follow the specified steps for account closure and revocation of email access.

8. Dispute Resolution

1. Contact Ulysses First: If a dispute arises, we strongly encourage you to first contact us directly to seek a resolution.
2. Arbitration Agreement: In the event of a dispute that cannot be resolved directly with Ulysses, both parties agree to resolve any claims relating to these ToS or the services through final and binding arbitration, except as set forth under exceptions to the arbitration agreement below.
3. Arbitration Procedures: The arbitration will be conducted by a neutral arbitrator in accordance with the rules that are in effect at the time the arbitration is initiated.
4. Exceptions to Arbitration Agreement: Either party may opt-out of the arbitration agreement for claims seeking to address intellectual property infringement or misuse, or claims seeking injunctive relief.
5. Governing Law: These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the jurisdiction where Ulysses is headquartered, without giving effect to any choice or conflict of law provision or rule.

9. Indemnification

• a. You agree to indemnify, defend, and hold harmless Ulysses, its affiliates, officers, agents, employees, and licensors from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from: (a) your use of and access to the Ulysses services; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including without limitation any copyright, privacy, property, or privacy right; or (d) any claim that your actions caused damage to a third party.

10. Changes to Terms of Service

1. Right to Modify ToS: Ulysses reserves the right to update or change these Terms of Service at any time. Changes may reflect updates in our services, legal requirements, or other aspects that necessitate modification of the ToS.

11. Severability 

1. Severability of Terms: If any provision of these Terms of Service is held to be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.
2. Modification for Compliance: In the event that any provision is deemed invalid or unenforceable, Ulysses and the user agree to amend such provision to achieve as closely as possible the same effect as the original provision while remaining within the bounds of legality and enforceability.
3. Continuation of Terms: The unenforceability or invalidity of any clause in these Terms of Service shall not have an impact on the enforceability of the remaining clauses. The remaining provisions of the Terms will continue in full force and effect.

• c. Legal Disputes: In the event of any legal dispute arising from or related to your use of Ulysses’ services, such disputes shall be resolved only in the courts of the jurisdiction where Ulysses is headquartered, and you consent to the exclusive jurisdiction of and venue in such courts.
